TERMS OF SERVICE

Effective Date: 26th November, 2025
Entity: Tanika Tech Jewels Private Limited (“Jwero”, “we”, “us”, “our”)

These Terms of Service (“Terms”) form a legally binding agreement between you (“Customer”, “you”, “your”) and Tanika Tech Jewels Private Limited regarding your access to and use of Jwero’s software and services.

By creating an account, subscribing, or using any Jwero product, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering this Agreement on behalf of a company or organization, you confirm that you are authorised to bind such an entity.

1. Description of Services

Jwero provides technology platforms and software-as-a-service (SaaS) solutions for jewellery and retail businesses, which may include the following modules:

  • E-commerce and Product catalogue platform
  • Customer Relationship Management (CRM)
  • Chats & Messaging Automation Platform
  • Digital Gold interface services
  • Automation & Workflow Engine
  • Loyalty & Rewards management
  • Order Management System
  • Product & Inventory Management
  • Marketplace Management
  • Integrations and APIs

     

Features may vary by subscription plan, geography, regulatory requirement, or technical compatibility.

Jwero may add, modify, or discontinue modules at its discretion.

2. Relationship of Parties

Customer acknowledges and agrees that:

  • Jwero is a technology platform provider only
  • Jwero does not act as:
    • jeweller
    • agent
    • broker
    • financial intermediary
    • marketplace operator
    • custodian of assets
    • digital gold seller
  • Jwero is not a party to any transaction between Customer and Customer’s users

     

All commercial, legal, financial and regulatory responsibilities relating to the Customer’s business remain solely with the Customer.

 

3. Account Registration & Responsibility

To access the Services:

  • Customer must register an account
  • provide accurate company and contact information
  • ensure compliance with applicable laws

     

Customer is solely responsible for:

  • maintaining password confidentiality
  • actions performed using its account
  • activity of authorised users
  • ensuring employees comply with these Terms

     

Jwero will not be liable for unauthorised access arising from lost or compromised credentials.

 

4. License Grant and Restrictions

4.1 License

During the subscription term, Jwero grants Customer a:

  • limited
  • non-exclusive
  • non-transferable
  • revocable
  • Time-bound

right to access and use the Services for internal business purposes.

4.2 Restrictions

Customer must not:

  • reverse engineer or decompile the software
  • circumvent technical controls
  • copy, resell, distribute or sub-license the Services in full or part
  • use the Services to build a competing product
  • use Services in violation of law or third-party rights
  • upload malicious code or disrupt the systems

     

5. No Access to Platform Infrastructure

Customer acknowledges that:

  • platform infrastructure,
  • servers,
  • databases,
  • logs,
  • application source code,

     

are the exclusive property of Tanika Tech Jewels Pvt Ltd.

 

Access will NOT be provided

Under no circumstances will Customer be provided:

  • database access
  • backend server or cloud console access
  • source code
  • administrative infrastructure access

unless:

  • separately agreed in writing
  • part of a mutually approved custom engagement
  • clearly defined within scope of deliverables

     

This access, if granted, may be revoked at any time.

 

6. Security Review and Penetration Testing

If Customer requests:

  • vulnerability assessment
  • penetration testing
  • architecture audit
  • security certification

then:

  • such testing must be conducted only by recognised third-party cyber-security firms
  • prior written approval from Jwero is mandatory
  • all costs shall be borne exclusively by the Customer

     

No test may involve:

  • denial-of-service attacks
  • data extraction
  • live database tampering
  • social engineering

Jwero may refuse testing requests at its discretion.

7. Product-Specific Disclaimers

7.1 E-commerce, CRM, Orders, Marketplaces

Customer, not Jwero, is responsible for:

  • product quality or purity
  • hallmarking compliance
  • price accuracy
  • description accuracy
  • delay in delivery
  • fraud or dispute with buyers
  • consumer complaints
  • returns, exchanges, refunds
  • government compliance

Jwero is not liable for any dispute between Customer and end consumers.

 

7.2 Digital Gold

Customer acknowledges that:

  • Jwero does not issue, store, purchase, sell, finance or guarantee digital gold
  • Jwero only provides a technical integration interface to independent service providers

All:

  • KYC/AML compliance
  • investment suitability
  • tax applicability
  • losses arising from price movement
  • service delivery failures

are strictly between Customer and the respective digital gold provider.

 

8. Third-Party Services, Platforms and Partners

Jwero may integrate with third parties including:

  • Meta Business (WhatsApp, Instagram, Facebook)
  • Google
  • Shopify
  • payment gateways
  • SMS/Email gateways
  • digital gold partners
  • marketplaces and ERP platforms

 

8.1 Third-party terms apply

Use of such services is subject to their respective terms and policies, which apply in addition to these Terms.

8.2 Third-party fees

Any third-party charges shall:

  • be borne separately by Customer
  • be invoiced separately or paid directly to the third party

     

8.3 No responsibility for partners

Jwero is not responsible for:

  • third-party account suspension or bans
  • denial of API access
  • downtimes or service outages
  • policy changes by Meta, Google, Shopify etc.
  • increased pricing by third parties

Refunds are not granted for such events.

 

9. AI Systems and Machine Learning

Jwero may use:

  • internal AI models
  • third-party large language models
  • machine learning tools

Customer acknowledges that:

  • AI output may be inaccurate, incomplete or unexpected
  • AI may produce biased or offensive results
  • AI information should not be relied upon as professional advice
  • Customer must review all AI-generated outputs before use

     

No liability for AI

Jwero will not be liable for:

  • any loss caused by reliance on AI outputs
  • inappropriate or inaccurate responses
  • misuse of data by third-party AI service providers
  • automated decision-making errors

     

10. Customer Data & Privacy

10.1 Ownership

Customer retains ownership of Customer Data.

Customer grants Jwero rights to:

  • store
  • process
  • analyse
  • back up
  • anonymise and aggregate

data as necessary to provide and improve Services.

 

10.2 Customer responsibilities

Customer is responsible for complying with:

  • India Digital Personal Data Protection Act (DPDP Act)
  • GDPR where applicable
  • country-specific privacy laws
  • telecom and spam regulations

Customer is responsible for:

  • collecting lawful consent from its customers
  • accuracy of data provided
  • data content uploaded into the platform

     

10.3 Cross-border transfer

Customer consents to:

  • storage on cloud platforms
  • processing in India or other countries
  • cross-border data transfers when required

 

11. Payments & Subscription

  • pricing is defined in order forms or plans
  • fees are non-refundable unless required by law
  • taxes and third-party costs are additional
  • subscriptions may auto-renew unless cancelled

Access may be suspended for non-payment.

 

12. Prohibited Use

Customer shall not use the Services for:

  • unlawful activity
  • impersonation or fraud
  • spam or bulk unsolicited messages
  • export control violations
  • money laundering
  • obscene or defamatory content
  • violating hallmarking or gold-trade laws

Jwero may suspend or terminate service for violation.

 

13. Service Availability

Jwero aims to provide high uptime, however:

  • interruptions may occur
  • services are provided on an “as-is” and “as-available” basis

Availability and response time commitments, if offered, shall be defined in a separate SLA.

 

14. Disclaimer of Warranties

To the maximum extent permitted by law:

  • Services are provided without warranties of any kind
  • No guarantee is made as to:
    • uninterrupted operation
    • accuracy of AI output
    • fitness for a particular purpose
    • error-free performance

Customer uses the Services at its own risk.

 

15. Limitation of Liability

To the fullest extent permitted by law:

  • Jwero’s total aggregate liability for any claim shall be limited to fees paid by Customer in the preceding three (3) months
  • Jwero is not liable for:
    • loss of gold or jewellery
    • business interruption
    • loss of profits or revenue
    • reputational loss
    • loss of customers or goodwill
    • data loss
    • consequential or punitive damages

No claim may be made against Jwero based on:

  • AI output
  • customer conduct
  • third-party integration failure
  • partner platform ban
  • pricing or inventory errors

     

16. Indemnification

Customer agrees to indemnify and hold harmless Jwero, its directors, officers and employees from any claim arising out of:

  • Customer’s business operations
  • breach of law or regulation
  • digital gold or jewellery disputes
  • third-party claims
  • misuse of Services
  • breach of these Terms

     

17. Global Customers & International Use

These Terms apply globally.

Customer agrees to comply with:

  • local taxation laws
  • import/export laws
  • consumer protection laws
  • sanctions and embargo regulations
  • data privacy regulations

Customer represents they are not subject to international sanctions.

 

18. Termination

Jwero may suspend or terminate access:

  • for breach of Terms
  • regulatory or legal requirement
  • non-payment
  • security or risk concerns

Customer may terminate by written notice or per plan terms.

Upon termination:

  • access will cease
  • data may be deleted as per policy
  • outstanding payments remain payable

     

19. Intellectual Property

All software, designs, trademarks, and content remain sole property of Tanika Tech Jewels Pvt Ltd.

No rights are granted except those expressly mentioned.

20. Governing Law and Dispute Resolution

Unless otherwise agreed:

  • Governing Law: Laws of India
  • Jurisdiction: Mumbai, Maharashtra courts

International customers consent to this jurisdiction.

 

21. Changes to Terms

Jwero may update these Terms periodically.

Continued use constitutes acceptance of updated Terms.

22. Entire Agreement & Survival

These Terms, along with:

  • Privacy Policy
  • SLA
  • Order Forms

form the entire agreement.

Clauses relating to:

  • confidentiality
  • limitation of liability
  • indemnity
  • intellectual property
  • governing law

shall survive termination.

23. Force Majeure

Jwero shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including:

  • natural disasters
  • war, terrorism, civil unrest
  • labour disputes
  • epidemics or pandemics
  • internet or telecom failure
  • cloud provider outages
  • government actions or regulatory changes

During such events, Jwero’s obligations are suspended without liability.

 

24. Assignment

Customer may not assign or transfer:

  • these Terms
  • subscription rights
  • account access

without Jwero’s prior written consent.

Jwero may assign this Agreement to:

  • an affiliate
  • a successor entity
  • purchaser of business/assets

without Customer consent.

 

25. Severability

If any provision of these Terms is held invalid or unenforceable:

  • that provision will be modified to the minimum extent necessary to make it enforceable
  • the remaining provisions remain in full force and effect

     

26. No Waiver

Failure of Jwero to enforce any right or provision shall not constitute a waiver of that right or provision.

 

27. Notices

Official communications shall be sent via:

  • email to Customer’s registered email address, or
  • posting within the platform dashboard, or
  • notice on the website.

Customer agrees that electronic notices constitute written notices.

 

28. Language

These Terms are written in English.

Where translated versions exist:

The English version shall prevail in case of inconsistency.
